GENERAL TERMS AND CONDITIONS OF USE AND SALE

Your use of the site is subject to the terms and conditions of use and sale set out below (hereinafter the “Terms”) and to all applicable laws.

The following terms and conditions govern and apply to your use of the website maintained online by the AELRFC. By accessing or browsing the website, you acknowledge that you have read and understood the Terms and Conditions of Use and Sale without restriction or reservation and agree to be bound by these terms and conditions. Please note that we may change the terms of use at any time without notice. Your continued use of the website will be deemed to constitute your acceptance of the revised terms and conditions.

1. TERMS OF USE

You hereby represent and warrant the following to AELRFC:

  • you will use the site only for lawful purposes and in accordance with these Terms and our Privacy Policy, also available online;
  • you undertake to respect our intellectual property rights;
  • you will provide us with accurate information, as necessary, to ensure the proper functioning of our site and assume responsibility for this information;
  • you acknowledge that we may not be able to process requests for which we cannot confirm the accuracy of the information, and that we will not be obliged to process them;
  • you agree not to create a link to the site (other than a ‘bookmark’ or ‘favourite’) without our prior written consent;
  • you shall refrain from using profane or vulgar language and from making inflammatory, defamatory or otherwise discourteous comments in any email or form created on the site;
  • You shall refrain from disrupting or attempting to disrupt the operation of the site by any means or device whatsoever, including sending spam, hacking, transmitting computer viruses or time bombs, or in any other manner expressly prohibited by these terms and conditions.

2. PROTECTION OF PERSONAL INFORMATION

Our practices regarding the protection of personal information we collect when you visit the site are described in our Privacy Policy, the terms of which are incorporated into these Terms by reference. By continuing to use the Site, you acknowledge that you have read this policy, agree to its terms and consent to our use of your personal information and the content you provide to us through the Site in accordance with the terms and for the purposes set out in our Privacy Policy.

3. USE PROHIBITED BY MINORS

The site is intended exclusively for adults. If you use the site to purchase products, you declare that you are of legal age to enter into a purchase agreement through the site and be bound by the terms of that agreement. If you are not of legal age in your jurisdiction of residence, your parent or guardian should use the site on your behalf, as you should not use the site on your own or provide personal information to AELRFC.

4. INTELLECTUAL PROPERTY

All intellectual property on the website is and remains the property of the AELRFC or its licensors and includes any material protected by copyright, trademark or patent. All trademarks are owned, registered and/or licensed by us. All content on the site, including, but not limited to, text, software, code, design, graphics, photos, sounds, music, videos, applications, interactive features and any other content, is a collective work under Canadian law or any other copyright law and is the property of the AELRFC. The elements appearing on this site may not be copied, reproduced, republished, downloaded, displayed, transmitted, distributed or modified, in whole or in part, whether in text, graphic, audio, video or executable form, without the written permission of the AELRFC.

5. USE OF COMPANY CONTENT

The AELRFC may provide you with certain information as a result of your use of the site, including, without limitation, documents, data or information developed by us, or any other item that may assist you in using the site or services (the “Company Content“). The Company Content may not be used for any purpose other than the use of the Site and the services offered on the Site. Nothing herein shall be construed as granting you any licence or intellectual property rights.

6. USER ACCOUNT AND USE OF THE ACCOUNT

If your use of the site requires an account identifying you as a user of the site (a “user account”):

a) You are solely responsible for your user account, the maintenance, confidentiality and security of your user account and all passwords linked to your user account, as well as the activity of any person who has access to your account with or without your permission.

b) You agree to immediately notify us of any unauthorised use of your user account, services through your user account, a password linked to your user account, or any other breach of the security of your user account or service provided through your user account, and you agree to assist us, as we may request, in stopping or remedying any security breach related to your account.

c) You agree to provide true, accurate and current user information, as we may request from time to time, and you agree to notify us of any changes to your user information as required so that the information we hold is true, accurate and current.

7. PAYMENT

When you make a purchase on the website, you agree to provide a valid payment instrument. When you provide us with a payment instrument, you represent that you have permission to use that payment instrument. When you make a payment, you authorise us and the payment service we use to charge the total amount to the payment instrument you have designated for the transaction. You also authorise us to collect and record this payment instrument and any other information related to the transaction.

If you pay by credit card, we may obtain a pre-authorisation from the card issuer for an amount up to the total transaction amount. If you choose to cancel a transaction before it is completed, the funds used for the pre-authorisation may not be immediately available in your account.

We reserve the right to cancel any transaction if we believe that the transaction violates these terms and conditions of use or if we believe that by doing so we can prevent financial loss.

In order to prevent financial loss, we may contact the issuer of your payment instrument, the police or any affected third party (including other users) and may share details of any payment associated with you if we believe that such action may prevent financial loss or a breach of the law.

Payment for any ongoing services will be billed automatically until you notify us that you wish to terminate the services.

8. PRODUCT INFORMATION AND AVAILABILITY

The AELRFC strives to provide the most accurate information possible about the products and services it sells and/or distributes, including product descriptions and product images. However, the AELRFC cannot guarantee the accuracy or reliability of any information relating to a product, and you acknowledge and agree that the purchase of such products is at your own risk.

The AELRFC may at any time review products or discontinue making certain products available without prior notice. If the AELRFC is unable to deliver a product you have ordered because it is unavailable, it will notify you by email and your order will be automatically cancelled with respect to the unavailable product.

9. ORDERING PRODUCTS

Before placing an order to purchase products through the website, you will see a screen confirming your order (the “Order Confirmation”) which indicates the products ordered, the purchase price, and the applicable shipping costs and taxes. Your order constitutes an offer to AELRFC to purchase the products listed in the Order Confirmation at the price and subject to the other charges, terms and conditions set out in the Order Confirmation. AELRFC is not bound by orders until it has accepted them. AELRFC’s acceptance of your order is evidenced by the response email sent to you by the company, indicating that your order has been accepted.

The website and its content should not be considered as an offer to sell products or services.

10. PRICING OF PRODUCTS

All prices are quoted in Canadian dollars and all product orders are processed in Canadian dollars. Although the AELRFC endeavours to provide accurate product information and pricing, there is always a risk of error. The AELRFC reserves the right to correct any errors in product pricing or product information and to change product prices at any time without notice. If the price or product information (listed on the website and/or in the order confirmation) is inaccurate due to an error in pricing or product information, the AELRFC may, at its sole discretion, refuse or cancel your order, either before or after accepting it. In the event of an error in pricing, the AELRFC will cancel your order and any charges that have been applied, and will contact you to invite you to place a new order for the product at the correct price.

11. ACCEPTABLE USE OF THE SITE

You agree not to use the site for any unlawful purpose or any other purpose prohibited under this clause. You agree not to use the site in any manner that could damage the site, the services or the business of AELRFC and its Exora Solutions division.

You also agree not to use the site for the following purposes:

a) harass, abuse or threaten others or otherwise violate a person’s rights;
b) infringe upon the intellectual property rights of the AELRFC or any other third party;
c) upload or transmit computer viruses or any other software that could damage the property of the AELRFC or others;
d) commit fraud;
e) creating or participating in illegal gambling, lottery or pyramid schemes;
f) publish or distribute obscene or defamatory material;
g) publish or distribute any material that incites violence, hatred, or discrimination against any group whatsoever;
h) unlawfully gathering information about others.

12. REVERSE ENGINEERING AND SECURITY

You may not undertake any of the following actions:
a) reverse engineer or disassemble any code or software on this site;
b) violate or attempt to violate the security of the site through unauthorised access, circumvention of encryption or any other security device, data mining, or interference with any host, user, or network.

13. DATA LOSS

We are not responsible for the security of your user account or the content of your account. Use of the site is at your own risk.

14. COMPENSATION

By using the site, you agree to defend, indemnify and hold harmless AELRFC and its affiliated companies against any claim, suit or demand, as well as any related costs and expenses of any kind (including legal fees) incurred by it as a result of a claim related to your use or misuse of the site, your violation of these terms and conditions, or your conduct and actions.
The AELRFC may, at its own expense, choose its own solicitor and assume sole responsibility for its defence and exercise sole control over any matter covered by this article.
For the purposes of this article, the term “AELRFC” includes the company’s directors, officers, employees, agents, licensors and licensees, and third-party suppliers.
The provisions of this Article shall remain in force notwithstanding the expiry of this Convention.

15. SPAM POLICY

You are strictly prohibited from using the site or any service offered on the site for illegal activities related to spam, including collecting addresses and personal information from others or sending mass commercial emails.

16. LINKS AND THIRD-PARTY CONTENT

We may publish links to third-party websites or services. We are not responsible for any damage or loss related to the use of third-party services linked to our website.

17. INDEPENDENCE OF CLAUSES

If any provision of these Terms of Use is found to be illegal, void, invalid or unenforceable, in whole or in part, the unenforceable portion shall not affect the validity and enforceability of the remaining provisions of these Terms of Use.

18. SERVICE INTERRUPTIONS

We may need to interrupt your access to the site in order to carry out unplanned maintenance work. You agree that your access to the site may be affected by unanticipated unavailability for any reason whatsoever, and that we shall not be liable for any damage or loss arising from such unavailability.

19. TERMINATION OF USER ACCOUNT

We may suspend, restrict, or terminate your user account and your use of the site at our discretion, at any time, without notice, and for any reason, including the operation or efficiency of the site or equipment or network belonging to us or a third party that is disrupted by your use or abuse of the site, or if you have been or are currently in violation of the terms herein.

20. EXCLUSION AND DISCLAIMER OF WARRANTY

Although we have made reasonable efforts to ensure that the content of this site is accurate, we cannot guarantee that said content is error-free, up to date or exhaustive. Under no circumstances shall we be held liable for any damage that may arise from an error on the site.
We accept no responsibility for any damage resulting from misuse of the site’s content. We also cannot guarantee that the site will be available without interruption, error or omission, or that defects will be corrected. Nor is it possible to guarantee that the site and the servers that make it available are free of viruses or harmful components. The site and its content are provided “as is” and “as available” without representation, warranty or condition of any kind.

21. CONFIDENTIALITY

Communications via the Internet are subject to interception, loss or alteration. Therefore, you acknowledge that any information or material you provide electronically as a result of accessing or using this site is not confidential or proprietary, except to the extent required by applicable law, and that unprotected email communications over the Internet may be intercepted, altered or lost. 22. LIMITATION OF LIABILITY

We are not liable for any damages you may incur arising from your use of the site, to the fullest extent permitted by law. This applies to any claim including, but not limited to, loss of profits or revenue, indirect or punitive damages, negligence, civil liability or fraud of any kind.

The AELRFC shall not be liable to you for any damage or loss attributable to viruses, data corruption, failure to deliver messages, errors or transmission problems.

In the event that, despite the above limitations, AELRFC is found liable for any damage or loss related to the use of the site, AELRFC’s maximum liability shall be limited to one hundred Canadian dollars ($100.00) or the amount paid to AELRFC in the last six months, whichever is greater.
Certain federal or provincial laws may prohibit restrictions on implied warranties or the exclusion or limitation of certain damages. If you are subject to these laws, some or all of the above disclaimers, exclusions or limitations may not apply to you, and you may have additional rights.

This clause shall remain in force despite the termination or expiry of this agreement.
